The New Place provides a personalized subscription service that allows our members to access classes, courses, challenges, programs and articles ("The New Place content") streamed over the Internet to certain Internet-connected computers and other devices ("The New Place ready devices").
1.1.The New Place online membership will continue month-to-month and automatically renew until terminated. To use The New Place service you must have Internet access and a The New Place ready device and provide us with one or more Payment Methods. "Payment Method" means a current, valid, accepted method of payment, as may be updated from time to time and which may include payment through your account with a third party.
1.2.We may offer a number of membership and package plans, including special promotional plans or memberships offered by third parties in conjunction with the provision of their own products and services. We are not responsible for the products and services provided by such third parties. Some membership plans may have differing conditions and limitations, which will be disclosed at your sign-up or in other communications made available to you. You can find specific details regarding The New Place membership by visiting our website and clicking on the "Membership" link.
2.1.The New Place online membership may start with a free trial or as otherwise specified during sign-up and is intended to allow new and certain former members to try the service.
2.2.Free trial eligibility is determined by The New Place at its sole discretion and we may limit eligibility or duration to prevent free trial abuse. We reserve the right to revoke the free trial and put your account on hold in the event that we determine that you are not eligible. We may use information such as device ID, method of payment or an account email address used with an existing or recent The New Place membership to determine eligibility. For combinations with other offers, restrictions may apply.
2.3.We will charge your Payment Method for your purchase of token at the end of the free trial period and your membership will automatically renew monthly unless you cancel your membership. To view the token price, visit our website and click the "Membership" link page.
2.4.It is very important to understand that you will not receive a notice from The New Place that your free trial has ended and that payment for your subscription is due. If you wish to avoid charges to your Payment Method, you must cancel your subscription prior to midnight Singapore Time on the last day of your free trial period. You may cancel your subscription at any time as described in the "Cancellation" section of these Terms. We will continue to bill your Payment Method for your subscription on a recurring basis corresponding to the term of your subscription until you cancel or the account or applicable Service is otherwise suspended or discontinued pursuant to these Terms. To the extent subscriptions are offered in conjunction with purchases of, or payment for, third party products or services, you agree that The New Place will not be liable to you for any claims arising out of or related to your purchase or use of such third party products or services. If you cancel your subscription during a free trial or while using a promotional code or other credits, cancellation may be effective immediately.
3.Billing and Cancellation
3.1.Billing Cycle. The membership fee for The New Place service any other charges you may incur in connection with your use of the service, such as taxes and possible transaction fees, will be charged on a monthly basis to your Payment Method on the calendar day corresponding to the commencement of the paying portion of your membership until your membership is cancelled. Membership fees are fully earned upon payment. In some cases your payment date may change, for example if your Payment Method has not successfully settled or if your paid membership began on a day not contained in a given month. Visit our website and click on the "Membership" link on the "Settings" page to see your next payment date. We may authorise your Payment Method in anticipation of membership or service-related charges through various methods, including authorizing it up to approximately one month of service as soon as you register. In some instances, your available balance or credit limit may be reduced to reflect the authorization during your free trial period.
3.2.Payment Methods. To use The New Place service you must provide one or more Payment Methods. You can update your Payment Methods by going to the "Membership" page. We may also update your Payment Methods using information provided by the payment service providers. Following any update, you authorize us to continue to charge the applicable Payment Method(s). You authorize us to charge any Payment Method associated to your account in case your primary Payment Method is declined or no longer available to us for payment of your subscription fee. You remain responsible for any uncollected amounts. If a payment is not successfully settled, due to expiration, insufficient funds, or otherwise, and you do not cancel your account, we may suspend your access to the service until we have successfully charged a valid Payment Method. For some Payment Methods, the issuer may charge you certain fees, such as foreign transaction fees or other fees relating to the processing of your Payment Method. Check with your Payment Method service provider for details.
3.3.Cancellation. You can cancel The New Place membership at any time, and you will continue to have access to The New Place service through the end of your monthly billing period. We do not provide refunds or credits for any partial-month membership periods or unwatched The New Place content. To cancel, go to the "Settings" page on our website and follow the instructions for cancellation. If you cancel your membership, your account will automatically close at the end of your current billing period. To see when your account will close, click "Membership" on the "Settings" page. If you signed up for The New Place using your account with a third party as a Payment Method and wish to cancel The New Place membership, you may need to do so through that third party, for example by visiting your account with the applicable third party and turning off auto-renew, or unsubscribing from The New Place service through that third party. You may also find billing information about The New Place membership by visiting your account with the applicable third party.
3.5.No Refunds. Payments are non-refundable and there are no refunds or credits for partially used periods. Following any cancellation, however, you will continue to have access to the service through the end of your current billing period. At any time, and for any reason, we may provide a refund, discount, or other consideration to some or all of our members (“credits”). The amount and form of such credits, and the decision to provide them, are at our sole and absolute discretion. The provision of credits in one instance does not entitle you to credits in the future for similar instances, nor does it obligate us to provide credits in the future, under any circumstance.
4.The New Place Service
4.2.The New Place service and any content viewed through our service are for your personal and non-commercial use only and may not be shared with individuals beyond your household. During your membership, we grant you a limited, non-exclusive, non-transferable right to access The New Place service and view The New Place content through the service. Except for the foregoing, no right, title or interest shall be transferred to you. You agree not to use the service for public performances.
4.3.You may view The New Place content primarily within the country in which you have established your account and only in geographic locations where we offer our service and have licensed such content. The content that may be available to watch will vary by geographic location and will change from time to time.
4.4.The New Place service, including the content library, is regularly updated. In addition, we continually test various aspects of our service, including but not limited to our website, user interfaces, promotional features and availability of The New Place content.
4.5.Some The New Place content is available for temporary download and offline viewing on certain supported devices ("Offline Titles"). Limitations apply, including restrictions on the number of Offline Titles per account, the maximum number of devices that can contain Offline Titles, the time period within which you will need to begin viewing Offline Titles and how long the Offline Titles will remain accessible. Some Offline Titles may not be playable in certain countries and if you go online in a country where you would not be able to stream that Offline Title, the Offline Title will not be playable while you are in that country.
4.7.The quality of the display of The New Place content may vary from device to device, and may be affected by a variety of factors, such as your location, the bandwidth available through and/or speed of your Internet connection. Please check with your Internet provider for information on possible Internet data usage charges. The New Place makes no representations or warranties about the quality of your watching experience on your display. The time it takes to begin watching The New Place content show will vary based on a number of factors, including your location, available bandwidth at the time, The New Place content you have selected and the configuration of your The New Place ready device.
4.8.The New Place software may solely be used for authorized streaming and viewing of content from The New Place through The New Place ready devices. This software may vary by device and medium, and functionalities may also differ between devices. By using our service, you agree to receive, without further notice or prompting, updated versions of The New Place and related third-party software. If you do not accept the foregoing terms, do not use our service.
4.9.By using our service, you agree to look solely to the entity that manufactured and/or sold you The New Place ready device for any issues related to the device and its compatibility with The New Place service. We do not take responsibility or otherwise warrant the performance of The New Place ready devices, including the continued compatibility with our service. If your The New Place ready device is sold, lost or stolen, please deactivate The New Place ready device. If you fail to log out or deactivate your device, subsequent users may access The New Place service through your account and may be able to access certain of your account information. To deactivate a device, follow instructions on the "Account" page of our website.
5.Passwords and Account Access
5.1.The member who created The New Place account and whose Payment Method is charged (the "Account Owner") has access and control over The New Place account and The New Place ready devices that are used to access our service and is responsible for any activity that occurs through The New Place account. To maintain control over the account and prevent anyone from accessing the account (which could include information on viewing history for the account), the Account Owner should maintain control over The New Place ready devices that are used to access the service and not reveal the password or details of the Payment Method associated to the account to anyone. You are responsible for updating and maintaining the accuracy of the information you provide to us relating to your account. We can terminate your account or place your account on hold in order to protect you, The New Place or our partners from identity theft or other fraudulent activity. The New Place is not obligated to credit or discount a membership for holds placed on the account by either a representative of The New Place or by the automated processes of The New Place.
6.Disclaimers of Warranties and Limitations on Liability
6.1.THE NEW PLACE SERVICE AND ALL CONTENT AND SOFTWARE ASSOCIATED THEREWITH, OR ANY OTHER FEATURES OR FUNCTIONALITIES ASSOCIATED WITH THE NEW PLACE SERVICE, ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. THE NEW PLACE DOES NOT GUARANTEE, REPRESENT, OR WARRANT THAT YOUR USE OF THE NEW PLACE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. THE NEW PLACE SPECIFICALLY DISCLAIMS LIABILITY FOR THE USE OF APPLICATIONS, THE NEW PLACE READY DEVICES, AND THE NEW PLACE SOFTWARE (INCLUDING THEIR CONTINUING COMPATIBILITY WITH OUR SERVICE).
6.2.TO THE EXTENT PERMISSIBLE UNDER APPLICABLE LAWS, IN NO EVENT SHALL THE NEW PLACE, OR ITS SUBSIDIARIES OR ANY OF THEIR SHAREHOLDERS, DIRECTORS, OFFICERS, EMPLOYEES OR LICENSORS BE LIABLE (JOINTLY OR SEVERALLY) TO YOU FOR PERSONAL INJURY OR ANY SPECIAL, INCIDENTAL, INDIRECT OR CONSEQUENTIAL DAMAGES OF ANY KIND, OR ANY DAMAGES WHATSOEVER.
6.3.SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN TYPES OF DAMAGES. THEREFORE, SOME OF THE ABOVE LIMITATIONS IN THIS SECTION MAY NOT APPLY TO YOU.
7.2.Unsolicited Materials. The New Place does not accept unsolicited materials or ideas for The New Place content, and is not responsible for the similarity of any of its content or programming in any media to materials or ideas transmitted to The New Place. Should you send any unsolicited materials or ideas, you do so with the understanding that no additional consideration of any sort will be provided to you, and you are waiving any claim against The New Place and its affiliates regarding the use of such materials and ideas, even if material or an idea is used that is substantially similar to the material or idea you sent.
7.3.Feedback. The New Place is free to use any comments, information, ideas, concepts, reviews, or techniques or any other material contained in any communication you may send to us ("Feedback"), including responses to questionnaires or through postings to The New Place service, including The New Place website and user interfaces, worldwide and in perpetuity without further compensation, acknowledgement or payment to you for any purpose whatsoever including, but not limited to, developing, manufacturing and marketing products and creating, modifying or improving The New Place service. In addition, you agree not to enforce any "moral rights" in and to the Feedback, to the extent permitted by applicable law.
7.7.Communication Preferences. We will send you information relating to your account (e.g. payment authorizations, invoices, changes in password or Payment Method, confirmation messages, notices) in electronic form only, for example via emails to your email address provided during registration. You agree that any notices, agreements, disclosures or other communications that we send to you electronically will satisfy any legal communication requirements, including that such communications be in writing.

1.INTRODUCTION TO THE PDPA
1.1.“Personal Data” is defined under the PDPA to mean data, whether true or not, about an individual who can be identified from that data, or from that data and other information to which an organisation has or is likely to have access. Common examples of personal data could include names, identification numbers, contact information, medical records, photographs and video images.
1.2.We will collect your personal data in accordance with the PDPA. We will notify you of the purposes for which your personal data may be collected, used, disclosed and/or processed, as well as obtain your consent for the collection, use, disclosure and/or processing of your personal data for the intended purposes, unless an exception under the law permits us to collect and process your personal data without your consent.
1.3.Types of Personal Data Collected :
For the purpose of carrying on the Company's business, including registration and administration of the Company's related products and services (including relevant online services), you may be requested to provide personal data such as, but not limited to, the following, without which it may not be possible to satisfy your request:

2.PURPOSES FOR COLLECTION, USE, DISCLOSURE AND PROCESSING OF PERSONAL DATA
2.1.We may collect, use, disclose and/or process your personal data for one or more of the following purposes:
2.1.1.considering and/or processing your membership application with us, including to require you to fill in relevant forms which sets out your health and lifestyle to ascertain your fitness level at the point of application with us;
2.1.2.Facilitating and managing your membership with us, including, without limitation;
a)granting you access into The New Place online, facilities and clubs according to the terms of your membership;
b)providing and arranging your personal training programmes and other fitness lessons provided by The New Place
c)providing you with service or club/facilities status updates;
d)administering your personal training and other training/fitness packages;
e)processing the payment of your membership fees and / or any other relevant charges that may be incurred by you;
f)operating The New Place’s members’ database;
g)providing you with any benefits as indicated by the terms of your membership, including to administer the relevant referral programs applicable to your membership;
h)providing you with our Class Booker application for you to making booking(s) for Group Exercise classes;
i)tracking your fitness levels with systems provided by us or our service provider
j)providing you with a fitness evaluation where requested by you;
k)facilitating the payment and provision of private locker rentals;
l)managing your access to online services provided by The New Place;
m)managing your access to our mobile apps (including The New Place app) and online services provided by the Company;
n)where your image is captured on any The New Place club/facilities, to be used for publicity purposes; or
2.1.3.carrying out your instructions or responding to any enquiry given by (or purported to be given by) you or on your behalf;
2.1.4.contacting you or communicating with you via phone/voice call, text message and/or fax message, email and/or postal mail for the purposes of administering and/or managing your membership with us such as but not limited to communicating information to you related to:
a)The status of your membership;
b)any service or club/facilities status updates;
c)reminders for appointments and / or sessions that you have booked with The New Place, whether through email or a notification through our Class Booker application;
d)outstanding payments or membership fees;
e)any of the purposes as indicated in paragraphs 2.1.1 and 2.1.2 above; or
2.1.5.carrying out due diligence or other screening in accordance with any legal or regulatory obligations or our risk management procedures that may be required by law or that may have been put in place by us;
2.1.6.to prevent or investigate any fraud, unlawful activity or omission or misconduct, whether relating to your membership with us or any other matter arising from your membership with us, and whether or not there is any suspicion of the aforementioned;
2.1.7.complying with or as required by any applicable law, governmental or regulatory requirements of any relevant jurisdiction, including meeting the requirements to make disclosure under the requirements of any law binding on us and/or for the purposes of any guidelines issued by regulatory or other authorities, whether in Singapore or elsewhere, with which we are expected to comply;
2.1.8.complying with or as required by any request or direction of any governmental authority; or responding to requests for information from public agencies, ministries, statutory boards or other similar authorities. For the avoidance of doubt, this means that we may/will disclosure your personal data to the aforementioned parties upon their request or direction;
2.1.9.conducting research, analysis and development activities (including but not limited to data analytics, surveys and/or profiling) to improve our services and facilities in order to enhance your membership with us or for your benefit, or to improve any of our products or services for your benefit;
2.1.10.storing, hosting, backing up (whether for disaster recovery or otherwise) of your personal data, whether within or outside Singapore;
2.1.11.providing and sending you marketing, advertising and promotional information, materials and/or documents relating to your membership with us which we think may be of benefit or interest to you, via (i) postal mail to your postal address(es) and/or electronic transmission to your email address(es), and (ii) if so consented by you, via telephone calls, SMS/MMS and/or facsimile to your telephone number(s);
2.1.12.if you have used our clubs as a guest or trial pass user, or have signed up with us during our promotional events, providing and sending you marketing, advertising and promotional information, materials and/or documents relating to our membership and clubs, via (i) postal mail to your postal address(es) and/or electronic transmission to your email address(es), and (ii) if so consented by you, via telephone calls, SMS/MMS and/or facsimile to your telephone number(s) provided by you;
(collectively, the “Purposes”)
2.2.As the purposes for which we may/will collect, use, disclose or process your personal data depend on the circumstances at hand, such purpose may not appear above. However, we will notify you of such other purpose at the time of obtaining your consent, unless processing of your personal data without your consent is permitted by the PDPA or by law.
2.3.In order to conduct our business operations more smoothly, we may also be disclosing the personal data you have provided to us to our third party service providers, agents and/or our affiliates or related corporations, and/or other third parties whether sited in Singapore or outside of Singapore, for one or more of the above-stated Purposes. Such third party service providers, agents and/or affiliates or related corporations and/or other third parties would be processing your personal data either on our behalf or otherwise, for one or more of the above-stated Purposes. Examples of service providers include companies that provide web hosting, data analysis, payment processing, order fulfilment, information technology and related infrastructure provision, customer service, email delivery, marketing, auditing, debt recovery and other services
3.1.By submitting personal data to us, you undertake and warrant that;
3.1.1.you have the authority to provide that personal data to The New Place;
3.1.2.the personal data provided is accurate and true;
3.1.3.you have informed the individual about the purposes for which his/her personal data is collected, used and disclosed as well as the parties to whom such personal data may be disclosed or transferred by The New Place, as set out; and
3.1.4.the individual has consented to the collection, use and disclosure of his/her personal data for such purposes.
4.SPECIFIC ISSUES FOR THE DISCLOSURE OF PERSONAL DATA TO THIRD PARTIES
4.1.We respect the confidentiality of the personal data you have provided to us.
4.2.In that regard, we will not disclose your personal data to third parties without first obtaining your consent permitting us to do so. However, please note that we may disclose your personal data to third parties without first obtaining your consent in certain situations, including, without limitation, the following:
4.2.1.cases in which the disclosure is required or authorized based on the applicable laws and/or regulations;
4.2.2.cases in which the purpose of such disclosure is clearly in your interests, and if consent cannot be obtained in a timely way;
4.2.3.cases in which the disclosure is necessary to respond to an emergency that threatens the life, health or safety of yourself or another individual;
4.2.4.cases in which the disclosure is necessary for any investigation or proceedings;
4.2.5.cases in which the personal data is disclosed to any officer of a prescribed law enforcement agency, upon production of written authorisation signed by the head or director of that law enforcement agency or a person of a similar rank, certifying that the personal data is necessary for the purposes of the functions or duties of the officer;
4.2.6.cases in which the disclosure is to a public agency and such disclosure is necessary in the public interest; and/or
4.2.7.where such disclosure without your consent is permitted by the PDPA or by law.
4.3.The instances listed above at paragraph

4.5.Where we disclose your personal data to third parties with your consent, we will employ our best efforts to require such third parties to protect your personal data.

5.1.4.to monitor traffic to the website;
5.1.5.to enable this website to function properly;
5.3.Personal data (if any) that we collect from you through cookies may be passed to our third party service providers, whether located in Singapore or elsewhere, for one or more of the Purposes, for managing and/or administering our website, or for the purpose of data hosting/storage/backup.
6.ACCURACY OF PERSONAL DATA
Where possible, we will validate data provided using generally accepted practices and guidelines. This includes the use of check sum verification on some numeric fields such as account numbers or credit card numbers. In some instances, we are able to validate the data provided against pre-existing data held by the Company. In some cases, the Company is required to see original documentation before we may use the personal data such as with identity cards and/or proof of address.
The Company will honour an individual's request not to use his or her personal data for the purposes of direct marketing. Any such request should clearly state details of the personal data in respect of which the request is being made. Specifically, we request that you include the corresponding Company assigned account numbers which are printed on the Company's statements/invoices. Please also state clearly the authority under which you are authorized to make such a request. Unless otherwise instructed as per the above, the Company may use any of the data collected in the normal course of its business for the purposes as set out in paragraph 2.1 above.
8.LINKS TO OTHER WEBSITES
The New Place provides links to web sites outside of The New Place site. These linked sites are not under the control of The New Place, and The New Place is not responsible for the conduct of companies linked to The New Place website, nor for the performance or otherwise of any content and/or software contained in such external websites.
9.REQUEST FOR ACCESS AND/OR CORRECTION OF PERSONAL DATA
9.1.You may request to access and/or correct the personal data currently in our possession or control by submitting a written request to us. We will need enough information from you in order to ascertain your identity as well as the nature of your request, so as to be able to deal with your request. Hence, please submit your written request on our online enquiry forms.
9.2.For a request to access personal data, once we have sufficient information from you to deal with the request, we will seek to provide you with the relevant personal data within 30 days. Where we are unable to respond to you within the said 30 days, we will notify you of the soonest possible time within which we can provide you with the information requested. Note that the PDPA exempts certain types of personal data from being subject to your access request.
9.3.For a request to correct personal data, once we have sufficient information from you to deal with the request, we will:
9.3.1.correct your personal data within 30 days. Where we are unable to do so within the said 30 days, we will notify you of the soonest practicable time within which we can make the correction. Note that the PDPA exempts certain types of personal data from being subject to your correction request as well as provides for situation(s) when correction need not be made by us despite your request; and
9.3.2.subject to paragraph 9.4, we will send the corrected personal data to every other organisation to which the personal data was disclosed by The New Place within a year before the date the correction was made, unless that other organisation does not need the corrected personal data for any legal or business purpose.
9.4.Notwithstanding paragraph 9.3(b), we may, if you so consent send the corrected personal data only to specific organisations to which the personal data was disclosed by us within a year before the date the correction was made.
9.5.We will also be charging you a reasonable fee for the handling and processing of your requests to access your personal data. We will provide you with a written estimate of the fee we will be charging. Please note that we are not required to respond to or deal with your access request unless you have agreed to pay the fee.
10.REQUEST TO WITHDRAW CONSENT
You may withdraw your consent for the collection, use and/or disclosure of your personal data in our possession or under our control by submitting your request at the following webpage and using the online form set out therein.
We will process your request within a reasonable time from such a request for withdrawal of consent being made, and will thereafter not collect, use and/or disclose your personal data in the manner stated in your request.
However, your withdrawal of consent could result in certain legal consequences arising from such withdrawal. In this regard, depending on the extent of your withdrawal of consent for us to process your personal data, it may mean that we will not be able to continue with your existing relationship with us.
11.ADMINISTRATION AND MANAGEMENT OF PERSONAL DATA
11.1.We will take reasonable efforts to ensure that your personal data is accurate and complete, if your personal data is likely to be used by The New Place to make a decision that affects you, or disclosed to another organisation. However, this means that you must also update us of any changes in your personal data that you had initially provided us with. We will not be responsible for relying on inaccurate or incomplete personal data arising from your not updating us of any changes in your personal data that you had initially provided us with.
11.2.We will also put in place reasonable security arrangements to ensure that your personal data is adequately protected and secured. Appropriate security arrangements will be taken to prevent any unauthorized access, collection, use, disclosure, copying, modification, leakage, loss, damage and/or alteration of your personal data. However, we cannot assume responsibility for any unauthorized use of your personal data by third parties which are wholly attributable to factors beyond our control.
11.3.We will also put in place measures such that your personal data in our possession or under our control is destroyed and/or anonymized as soon as it is reasonable to assume that (i) the purpose for which that personal data was collected is no longer being served by the retention of such personal data; and (ii) retention is no longer necessary for any other legal or business purposes.
11.4.Where your personal data is to be transferred out of Singapore, we will comply with the PDPA in doing so. In this regard, this includes us obtaining your consent unless an exception under the PDPA or law applies, and taking appropriate steps to ascertain that the foreign recipient organisation of the personal data is bound by legally enforceable obligations to provide to the transferred personal data a standard of protection that is at least comparable to the protection under the Act.
